Potheon Terms of Sale and Refund Policy
Last updated: [DATE].
These terms explain our plans, prices, renewals, cancelling and refunds. Using the software is covered by the End User Licence Agreement (the "EULA"). Words like "Software" mean the same as in the EULA.
1. Who you're buying from
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides the checkout, takes payment, issues invoices and receipts, charges and pays sales tax and VAT, and handles refunds and billing questions. When you buy, you also agree to Paddle's buyer terms, and Paddle's refund policy applies alongside ours.
The Software is made, licensed and supported by Ryan Lee Kai La, an individual trading as Potheon, of [ADDRESS] ("we", "us"). Contact: [email protected].
2. Plans and prices
| Plan | What you get | Price | Renewal |
|---|---|---|---|
| Free | 1 hour of new footage a month, plus 2 extra hours in your first month. Search, preview and use what you've scanned. All updates | Free | None; no payment details needed |

| Creator yearly | The same, paid yearly | $72.00 / £56.00 / €64.00 a year | Renews every year until you cancel |
| Early supporter | Creator monthly at a locked-in price (section 4) | $6.00 a month (or the price shown in your currency) | Renews every month until you cancel |
| Lifetime | Creator features with no time limit, plus every update released in the 12 months after you buy | $149.00 / £119.00 / €139.00 | None: one payment |
- Taxes. Prices in pounds and euros include VAT. In other countries, sales tax or VAT may be added at checkout. The checkout shows the total before you pay.
- Currency. Paddle shows the price in your currency and may convert it. Your bank may charge a fee for foreign currency.
- Unused free hours don't carry over to the next month. Footage you've scanned stays searchable on every plan, including after a paid plan ends.
- We may offer other plans later (for example, Pro). Their terms will be shown before you buy.
3. How buying works
3.1 You choose a plan on our website or in the app, and pay in Paddle's checkout. Before you pay, the checkout shows the plan, price, taxes, and whether and how often it renews.
3.2 The contract is made when Paddle confirms your order by email. Paddle's email includes your receipt and the link to manage your subscription. We then email your licence key. Activate it in the app (Settings, Licence).
3.3 You must be 18 or over to buy, or have permission from a parent or guardian.
3.4 What the Software needs. Windows 10 or 11 (64-bit), and the hardware listed on our download page. Some features (for example, best-quality search and shot descriptions) need a graphics card and enough memory, and the app turns them off on computers that can't run them. The Premiere Pro and After Effects panels need a supported version of those apps. Please try the Free plan on your computer before you buy.
3.5 Technical protection. Paid plans need an internet connection to activate, and a licence check about once a week. Without a connection, paid features keep working for 30 days, then the app works as the Free plan until it can check again. Each paid licence can be active on 2 computers at once. The EULA (section 2) has the details.
4. Subscriptions: renewals, price changes and cancelling
4.1 Renewal. Subscriptions renew automatically at the end of each period, and Paddle charges your saved payment method, until you cancel. Your receipt shows the next renewal date. We'll remind you by email before each yearly renewal.
4.2 Cancelling. You can cancel at any time, in a few clicks, with no fee:
- with the "Manage subscription" link in any Paddle receipt or email;
- from the app (Settings, Licence, Manage subscription); or
- by emailing us at [email protected] or contacting Paddle at paddle.net.
Cancelling stops future payments. You keep paid features until the end of the period you've paid for. After that, the app works as the Free plan: your index and footage stay, and everything you scanned stays searchable.
4.3 Price changes. We may change the price of a subscription for future periods. We'll email you at least 30 days before a higher price applies to you. If you don't want to pay it, cancel before your next renewal; you won't be charged the new price.
4.4 Early-supporter price, locked in. If you subscribe at the early-supporter price, we won't raise it for as long as your subscription keeps renewing without a break. You keep at least the features of Creator at that price, even if we rename or change our plans. Only if a tax rate in your country changes may the total change by that tax difference, and we'll tell you first. If you cancel and the subscription ends, or a payment fails and isn't fixed within Paddle's retry period, the locked-in price ends and a new subscription is at the price on sale then.
4.5 Failed payments. If a renewal payment fails, Paddle retries and emails you. If it still fails, the subscription ends and the app works as the Free plan.
5. Refund policy
5.1 14-day refund, no reason needed. Ask within 14 days of your first payment for a plan (a new subscription or a Lifetime purchase), or of a yearly renewal, and you get a full refund.
5.2 Monthly renewals after your first month aren't refunded for change of mind, because you can cancel at any time before the next one. We'll still refund a renewal in fairness cases, for example a charge you didn't expect that you tell us about promptly, before using paid features in the new month.
5.3 Faults. If the Software doesn't work as described and we can't fix it within a reasonable time, you get a refund: in full, or for the affected part of your plan, depending on how long you've had working use of it. This is in addition to your legal rights (section 6).
5.4 How to ask. Go to paddle.net, or use the link in your receipt, or email us at [email protected] and we'll arrange it with Paddle. Refunds go back to the original payment method, usually within 14 days of approval.
5.5 After a refund, the licence for that purchase is cancelled at the app's next licence check, and the app works as the Free plan. We may refuse refunds where there's clear evidence of abuse, such as repeatedly buying and refunding.
5.6 Please contact us before raising a chargeback with your bank: we can usually sort it out faster. During a chargeback, the licence may be suspended.
6. Your legal right to cancel (UK and EU consumers)
6.1 If you're a consumer in the UK or the EU, you normally have a legal right to cancel a purchase of digital content within 14 days of the contract, without giving a reason.
6.2 For digital content you download, this right ends once the download or use begins, but only if you asked for immediate access and acknowledged that you'd lose the right. The checkout (or the app, before activating) asks you to confirm this, and Paddle's confirmation email records it.
6.3 Our 14-day refund in section 5.1 applies whether or not you still have this legal right, so in practice you can get your money back within 14 days either way.
6.4 For subscriptions, the legal right applies to your first payment. In the UK, you also have a fresh 14 days after each yearly renewal. To cancel under this section, tell Paddle at paddle.net or email us with a clear statement; you don't need to use a form.
7. Faults and your statutory rights
If you're a consumer, the Software must be of satisfactory quality, fit for purpose and as described. If it isn't, you can ask for it to be fixed or replaced, and if that isn't possible or doesn't work in a reasonable time, for a price reduction or refund. If faulty Software damages your device or other digital content because we didn't use reasonable care and skill, we'll repair the damage or compensate you. Citizens Advice (in the UK) or your local consumer body can tell you more. Nothing in these terms affects these rights. Our liability is explained in section 11 of the EULA.
8. Changes to plans and these terms
8.1 We may change our plans, prices or these terms for future purchases. The terms shown when you bought apply to that purchase. For a running subscription, we'll tell you about an important change at least 30 days before it applies at your next renewal, and you can cancel before then.
8.2 If we stop selling or supporting the Software, we'll tell you in advance and refund any subscription period paid but not yet used. Lifetime licences keep working as described in the EULA (section 5.5).
9. Business customers
If you buy for a business, add your VAT or tax number at checkout so Paddle can apply the right tax. Sections 6 and 7 apply only to consumers. The EULA's section 11.3 applies instead of section 11.2.
10. Complaints and contact
Questions, complaints or refund requests: [email protected], or Ryan Lee Kai La, [ADDRESS]. We aim to reply within 5 working days. Billing and payment questions can also go to Paddle at paddle.net. These terms are governed by the laws of England and Wales, as set out in section 13.6 of the EULA, and you keep any consumer protection the law of your country gives you.
